These Terms and Conditions ("Terms") govern your access to and use of the TRooThemes website, platform, products, AI-powered theme generation features, ready-made themes, templates, and related services (collectively, the "Service").

By accessing the TRooThemes website, creating an account, purchasing a product, generating a theme, downloading an output, or otherwise using the Service, you agree to these Terms.

If you do not agree with these Terms, please do not use the Service.

1. About TRooThemes

TRooThemes helps users create frontend themes with AI from prompts, Figma designs, screenshots, and other supported inputs. We also provide access to ready-made themes, templates, layouts, and related frontend products for users who want to start with an existing design.

Depending on the feature or plan you use, the Service may allow you to:

Generate frontend themes using AI
Create themes from text prompts
Convert supported Figma designs into frontend themes
Generate themes or layouts based on screenshots
Customize generated themes
Preview, export, or download generated output
Access ready-made themes, templates, layouts, and other digital products
Use available products for personal, business, or client projects

Certain features may be subject to plan limits, licensing requirements, generation limits, or additional terms displayed at the time of purchase or use.

2. Eligibility and Accounts

You must be legally capable of entering into a binding agreement to use TRooThemes.

If you are using TRooThemes on behalf of a company, agency, organization, or other legal entity, you represent that you have authority to accept these Terms on its behalf.

You are responsible for:

Providing accurate account information
Keeping your login credentials secure
Maintaining the confidentiality of your account
All activities performed through your account
Informing us promptly if you believe your account has been accessed without authorization

You may not share, sell, rent, sublicense, or transfer your TRooThemes account to another person without our written permission.

We may suspend or restrict access to an account if we reasonably believe it is being misused or used in violation of these Terms.

3. AI-Powered Theme Generation

TRooThemes may provide AI-powered tools that generate themes, layouts, frontend code, components, styling, text, images, design elements, or other materials based on information provided by you.

AI-generated results may vary depending on the prompt, design, screenshot, source material, available technology, and other factors.

You acknowledge that AI-generated output may:

Contain errors or incomplete elements
Require manual adjustments
Contain code that should be reviewed before production use
Produce unexpected or inaccurate results
Be similar to content generated for other users
Require compatibility testing
Require accessibility, performance, security, or SEO review
Include third-party or open-source technologies subject to separate licenses

TRooThemes does not guarantee that AI-generated output will be unique, error-free, production-ready, secure, accessible, compatible with every platform, or suitable for every use case.

You are responsible for reviewing and testing generated themes before using them on a live website or client project.

4. Your Inputs

"Inputs" means anything you submit, upload, enter, connect, or otherwise provide to TRooThemes for use with the Service.

Inputs may include:

Text prompts
Instructions
Screenshots
Figma designs or design information
Images
Logos
Brand assets
Website content
Graphics
Documents
Code
URLs
Reference materials
Other files or information

You retain any rights you already hold in your Inputs.

By providing Inputs to TRooThemes, you grant us the rights reasonably necessary to process, transmit, store, reproduce, and use those Inputs for the purpose of providing, maintaining, securing, and improving the functionality of the Service.

You represent and warrant that you have all necessary rights, licenses, permissions, and authority to provide your Inputs and use them with TRooThemes.

5. Screenshots, Designs, and Third-Party Materials

TRooThemes may allow you to generate themes based on screenshots, Figma designs, websites, images, or other reference materials.

You must not submit material that you do not have the legal right to use.

For example, you should not use TRooThemes to intentionally reproduce a third party's protected website, design, brand identity, copyrighted content, or proprietary materials without appropriate authorization.

You are responsible for ensuring that your Inputs and your intended use of generated output do not violate the intellectual property, privacy, publicity, contractual, or other legal rights of another person or organization.

TRooThemes does not verify ownership of every design, screenshot, image, or other material submitted by users.

6. AI-Generated Output

"Output" means themes, layouts, frontend code, components, designs, text, images, or other materials generated through TRooThemes based on your Inputs.

Subject to these Terms, your applicable plan, our License Policy, applicable law, and any third-party rights, you may use and modify Output generated through your account for your personal, business, or client projects.

Unless specifically permitted by TRooThemes, you may not:

Resell generated Output as a standalone TRooThemes product
Redistribute generated themes as part of a competing theme library
Sell access to TRooThemes' generation technology
Misrepresent TRooThemes technology as your own platform
Use generated Output in a way that violates applicable law or third-party rights

Nothing in these Terms transfers ownership of the TRooThemes platform, software, systems, technology, branding, models, interfaces, or proprietary tools to you.

7. AI Output May Not Be Unique

Because AI systems can produce similar results from similar instructions, TRooThemes cannot guarantee that Output generated for you will be unique or exclusive.

Other users may independently receive output that is identical or similar in structure, design, code, content, or appearance.

TRooThemes does not guarantee that any AI-generated Output will qualify for copyright, trademark, patent, or other intellectual property protection in any jurisdiction.

You are responsible for determining whether additional protection, clearance, or legal review is required for your intended use.

8. Ready-Made Themes and Templates

TRooThemes also offers ready-made themes, templates, layouts, and other digital products.

Unless otherwise stated, purchasing or downloading a ready-made product does not transfer ownership of the original product or its intellectual property to you.

Instead, you receive a license to use the product according to the license selected or specified at the time of purchase.

Usage may be limited by:

Number of live domains
Product type
License type
Account
Subscription or plan
Other conditions stated on the applicable product page

You may customize a licensed product for an authorized website or client project, but you may not resell, redistribute, sublicense, share, or make the original product files available to others unless expressly permitted.

9. Intellectual Property

TRooThemes and its licensors retain all rights, title, and interest in the TRooThemes platform and its underlying technology, including, where applicable:

Software
Platform functionality
User interfaces
Brand assets
Logos
Trademarks
Proprietary code
Documentation
Ready-made themes and templates
Design systems
Platform technology
Other materials created or owned by TRooThemes

These Terms do not grant you any rights to TRooThemes intellectual property except for the limited rights necessary to use the Service in accordance with these Terms.

10. Third-Party Technologies

TRooThemes may use or integrate third-party technologies, libraries, frameworks, APIs, hosting infrastructure, artificial intelligence services, fonts, icons, open-source software, payment services, or other third-party resources.

Your use of certain third-party components may be subject to additional licenses or terms provided by those third parties.

TRooThemes is not responsible for the availability, policies, functionality, security, or performance of third-party services outside our reasonable control.

Where generated or ready-made themes include third-party components, you are responsible for complying with any applicable third-party license requirements.

11. Acceptable Use

You agree to use TRooThemes only for lawful purposes.

You may not use the Service to:

Infringe copyrights, trademarks, patents, privacy rights, publicity rights, or other rights
Intentionally copy or impersonate another business, person, website, or brand without authorization
Generate or distribute malicious code, malware, viruses, ransomware, or harmful software
Conduct fraudulent, deceptive, abusive, or unlawful activity
Attempt unauthorized access to systems, accounts, networks, or data
Harass, threaten, exploit, or harm another person
Generate or distribute illegal content
Circumvent usage, generation, account, payment, or licensing restrictions
Scrape, crawl, copy, or extract TRooThemes platform data without authorization
Reverse engineer, decompile, or attempt to reproduce the underlying TRooThemes platform or proprietary technology, except where applicable law expressly permits it
Interfere with or disrupt the operation of the Service
Use automated methods that place an unreasonable load on our infrastructure
Resell access to the Service without authorization
Use TRooThemes in violation of applicable laws or regulations

We may investigate suspected violations and restrict or terminate access when reasonably necessary.

12. Plans, Usage Limits, and Credits

Certain TRooThemes features may be available through free plans, paid plans, subscriptions, credits, individual purchases, or other pricing models.

The limits, pricing, billing cycle, renewal conditions, and features shown when you subscribe or purchase form part of these Terms.

We may update pricing or plan features from time to time. Changes to active paid plans will be handled in accordance with the terms presented to you and applicable law.

You may not attempt to bypass or manipulate plan or usage limitations.

13. Payments and Taxes

When purchasing a product or paid Service, you agree to provide accurate billing and payment information.

Payments may be processed through third-party payment providers. Your use of those payment services may also be subject to the provider's terms and privacy policies.

You are responsible for taxes, duties, levies, or other government charges applicable to your purchase, except where TRooThemes is legally required to collect and remit them.

Unless specifically included in your plan or purchase, support does not necessarily include:

Issues caused by modifications outside TRooThemes

Support availability and response channels may vary by product or plan.

16. User Content and Responsibility

You are responsible for the content you create, upload, publish, deploy, distribute, or otherwise use through TRooThemes.

You are also responsible for ensuring that your final website, theme, or project complies with applicable:

Intellectual property laws
Privacy laws
Data protection requirements
Accessibility requirements
Consumer protection laws
Advertising requirements

Third-party licenses

TRooThemes is a tool for creating and accessing frontend themes and related materials. Your use of the final output remains your responsibility.

TRooThemes may rely on third-party infrastructure or technology providers to operate certain parts of the Service.

You should not submit confidential, sensitive, regulated, or personal information through prompts, files, or other Inputs unless you have appropriate authority to do so and the feature is suitable for that purpose.

18. Service Availability and Changes

We work to keep TRooThemes available and functional, but we do not guarantee uninterrupted access.

The Service may occasionally be unavailable because of:

Updates
Technical problems
Third-party service interruptions
Infrastructure failures

Events outside our reasonable control

We may add, remove, modify, discontinue, or replace features, technologies, products, or portions of the Service from time to time.

19. Backups

You are responsible for maintaining backups of important themes, files, generated code, assets, and project materials.

TRooThemes should not be treated as your sole backup or permanent storage location unless a particular service expressly states otherwise.

We are not responsible for loss of data caused by circumstances outside obligations imposed on us by applicable law.

20. Disclaimer of Warranties

To the maximum extent permitted by applicable law, TRooThemes and the Service are provided on an "as is" and "as available" basis.

We do not guarantee that:

The Service will always be available
AI-generated Output will always be accurate
Generated themes will be error-free
Generated code will be secure or free from vulnerabilities
Output will be unique
Output will not resemble third-party materials
Every theme will work with every browser, device, framework, plugin, platform, hosting provider, or third-party service
Generated Output will satisfy every accessibility, SEO, performance, security, or regulatory requirement
Use of the Service will produce a specific commercial or business result

You should review, test, and validate any Output before deploying it to a production environment.

21. Limitation of Liability

To the maximum extent permitted by applicable law, TRooThemes and its affiliates, directors, employees, contractors, licensors, and service providers will not be liable for indirect, incidental, special, consequential, exemplary, or punitive damages arising from or relating to your use of the Service.

This includes, where permitted by law, loss of:

Profits
Revenue
Business opportunities
Data
Goodwill
Website availability
Customers
Business operations

To the maximum extent permitted by applicable law, TRooThemes' total aggregate liability arising from or relating to the Service will not exceed the amount you paid to TRooThemes for the applicable Service during the 12 months immediately preceding the event giving rise to the claim.

Nothing in these Terms excludes or limits liability where doing so would be prohibited by applicable law.

22. Indemnification

To the extent permitted by law, you agree to indemnify and hold harmless TRooThemes and its affiliates, officers, directors, employees, contractors, and service providers from claims, losses, liabilities, costs, and reasonable legal expenses arising from:

Your use of generated Output
Your violation of these Terms
Your infringement of third-party rights
Your violation of applicable law
Content or materials you upload or provide
Websites or projects you create using the Service

23. Suspension and Termination

We may suspend, restrict, or terminate your access to TRooThemes if we reasonably determine that:

You have violated these Terms
Your use creates a security or legal risk
Your activity harms the Service or other users
You have engaged in fraud or unauthorized activity
Required payments remain unpaid
Continuing to provide the Service would violate applicable law

You may stop using TRooThemes at any time.

Termination does not remove obligations or restrictions that, by their nature, should continue after termination, including intellectual property provisions, payment obligations, disclaimers, limitations of liability, and indemnification obligations.

24. Electronic Communications

By creating an account or using TRooThemes, you agree that we may send you operational communications relating to your account, purchases, security, transactions, changes to the Service, or these Terms.

Marketing communications will be handled in accordance with applicable law and your communication preferences.

You may unsubscribe from promotional emails using the unsubscribe option provided in those messages.

26. Force Majeure

TRooThemes will not be responsible for delays or failures caused by events beyond our reasonable control, including natural disasters, internet or infrastructure failures, governmental actions, wars, civil disturbances, strikes, power outages, major third-party service failures, or similar events.

27. Governing Law

These Terms are governed by the applicable laws of India.

Subject to applicable law, disputes arising from these Terms or use of the Service will be subject to the jurisdiction of the competent courts in Surat, Gujarat, India.

Nothing in this section limits any rights you may have under mandatory consumer protection laws that apply to you.

28. Changes to These Terms

We may update these Terms as TRooThemes evolves, including when we:

Add new AI capabilities
Introduce new products
Change plans or licensing models
Update legal or regulatory requirements
Change how the Service operates

When we make material changes, we may update the "Last Updated" date and provide additional notice where appropriate.

Changes will apply from their effective date and will not apply retroactively where prohibited by law.

Your continued use of the Service after updated Terms become effective means you accept the revised Terms.

29. Entire Agreement

These Terms, together with any applicable Privacy Policy, Refund Policy, License Policy, plan terms, product-specific conditions, and other policies expressly incorporated by reference, form the agreement between you and TRooThemes regarding your use of the Service.

If a provision of these Terms is found unenforceable, the remaining provisions will continue in effect to the extent permitted by law.
